Prime Objectives

Reporting to: Chairman of the Board / CEO
Location: Raysut Cement SAOG, Oman
Employment Type: Full-Time

To ensure effective governance and administration of the Board of Directors by managing board processes, ensuring statutory and regulatory compliance, maintaining accurate records, and facilitating communication between the Board, executive management, shareholders, and regulatory authorities.


Roles & Responsibilities

1. Governance & Compliance

  • Ensure full compliance with the Oman Commercial Companies Law (Royal Decree 18/2019) and FSA’s Code of Corporate Governance.  
  • Maintain up-to-date knowledge of relevant laws, regulations, and FSA directives affecting SAOG companies. 
  • Ensure timely filing of statutory documents with the Ministry of Commerce, Industry and Investment Promotion (MoCIIP), Muscat Stock Exchange (MSX), and Financial Services Authority (FSA). 

2. Board & Committee Administration

  • Organize and manage Board of Directors and Committee meetings (Audit, Nomination & Remuneration, Risk, etc.). 
  • Prepare and circulate agendas, board packs, and support documentation in advance of meetings. 
  • Record accurate minutes of meetings and ensure timely circulation and approval. 
  • Track and follow up on Board resolutions and decisions to ensure implementation and compliance. 

3. Shareholder Relations

  • Coordinate Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs). 
  • Ensure proper documentation and communication with shareholders, including notices, resolutions, and voting procedures. 
  • Maintain shareholders registers and manage share-related matters in coordination with Muscat Clearing and Depository Company (MCD). 

4. Legal Duties

  • Participate in and provide legal guidance to Board and Management Committees.
  • Represent Raysut for all legal proceedings
  • Perform legal research to remain updated on new regulations.
  • Coordinate outsourced legal activities (e.g., litigation)
  • Assess regulatory environment and advise Corporate and departments on possible impact on strategy and business plans.
  • Review corporate governance legal requirements and ensure Group compliance.
  • Develop and supervise all legal documents drafted by or sent to company.
    • Set guidelines for non-binding agreements (MOUs, etc)
    • Develop/ review strategic contracts (JVs, acquisition, etc) and standard legal contracts (e.g., employment contracts, etc)

5. Records & Documentation

  • Maintain statutory registers, including registers of directors, shareholders, and beneficial ownership. 
  • Ensuring timely collection and filing of Directors and KMP disclosure, also maintaining list of all related parties. 
  • Safeguard all official documents, minutes, resolutions, and board correspondence. 
  • Ensure secure and organized archiving of board documentation. 

6. Advisory & Strategic Support

  • Act as a key advisor to the Board and senior management on governance matters. 
  • Support the Board in conducting board evaluations as per FSA requirements and frequency as prescribed.  
  • Facilitate director induction, training, and development programs. 

7. Ethics & Confidentiality

  • Uphold the highest standards of integrity, impartiality, and confidentiality. 
  • Ensure that directors are aware of their legal and fiduciary responsibilities. 
  • Prevent conflicts of interest and ensure transparency in board operations.

Required Skills, Experience & Qualification

Qualifications & Experience

  • Bachelor’s degree in Law, Business Administration, Corporate Governance, or related field. Professional certification (e.g., ICSA, CS) is preferred, Board secretary certification or similar, compulsory.
  • Minimum 8–10 years of experience in corporate governance, legal compliance, or board secretarial roles, preferably within SAOG or publicly listed companies. 
  • Strong understanding of Omani corporate laws, FSA regulations, and governance frameworks. 
  • Excellent communication, organizational, and interpersonal skills. 
  • Proficiency in Arabic and English (written and spoken).
